2. Services
VIIXDIGITAL LLC provides digital services including website design and development, website maintenance, hosting management, search engine optimisation, and digital advertising management. Services are delivered remotely.
The precise scope, deliverables and timeline of each engagement are defined in a written quotation or proposal accepted by the client before work begins.
3. Quotations and Orders
All quotations are valid for 30 days from the date of issue unless stated otherwise. An order is confirmed once the client has accepted the quotation in writing and the agreed deposit has been received.
4. Pricing and Payment
Prices are stated in the currency indicated on the quotation and are exclusive of any taxes that may apply in the client’s jurisdiction.
Unless otherwise agreed in writing:
- A deposit of 50% is payable before work commences.
- The balance is payable upon delivery, before the final transfer of files or go-live.
- Recurring services (hosting, maintenance, campaign management) are invoiced monthly or annually in advance.
- Invoices are payable within 14 days of the invoice date.
Accepted payment methods are bank transfer and card payment. Late payment may result in suspension of services until the account is settled.
5. Client Responsibilities
The client is responsible for providing, in a timely manner, all content, credentials, approvals and information required to deliver the service. Delays caused by the client may extend delivery timelines. The client warrants that all material supplied to us does not infringe the rights of any third party.
6. Delivery
Estimated delivery timelines are communicated in the quotation. Deliverables are provided electronically. A project is considered delivered once the deliverables have been made available to the client for review.
7. Revisions
Each project includes the number of revision rounds specified in the quotation. Additional revisions, or changes to the agreed scope, are quoted separately and invoiced as additional work.
8. Cancellation and Refunds
The client may cancel a project at any time by written notice. In that case:
- Work completed up to the cancellation date remains payable.
- Deposits are non-refundable once work has commenced, as they cover resources already allocated.
- Where no work has commenced, the deposit is refunded in full within 14 days.
Recurring services may be cancelled with 30 days’ written notice. Amounts already paid for the current billing period are not refunded, and the service remains active until the end of that period.
Refund requests should be sent to viixdigital@gmail.com and are reviewed within 10 business days.
9. Intellectual Property
Upon receipt of full payment, ownership of the final deliverables created specifically for the client transfers to the client. We retain ownership of any pre-existing tools, frameworks, templates and components used in the course of the work, and grant the client a non-exclusive licence to use them as part of the deliverables.
Third-party assets (themes, plugins, fonts, stock media) remain subject to their own licence terms.
Unless the client objects in writing, we may reference the completed work in our portfolio.
10. Confidentiality
Each party undertakes to keep confidential any non-public information received from the other party in the course of the engagement, and to use it solely for the purpose of delivering the services.
11. Warranties and Limitation of Liability
We will perform the services with reasonable skill and care. We do not warrant that any website, campaign or service will be uninterrupted, error-free, or achieve any particular commercial result, including specific search rankings or advertising performance.
To the maximum extent permitted by law, our total liability arising out of or in connection with the services shall not exceed the total amount paid by the client for the service giving rise to the claim. We shall not be liable for indirect or consequential loss, including loss of profit, revenue or data.
12. Third-Party Services
Certain services rely on third-party providers (hosting companies, domain registrars, advertising platforms, payment processors). Their own terms apply, and we are not responsible for outages, policy changes, account suspensions or price changes imposed by those providers.
13. Prohibited Use
Our services may not be used for any unlawful purpose, nor for content that is fraudulent, infringing, defamatory, or otherwise prohibited by applicable law or by the policies of the platforms involved. We reserve the right to terminate an engagement immediately in such cases, without refund.
14. Data Protection
Personal data collected through this website or in the course of an engagement is processed in accordance with our Privacy Policy. We process client data solely for the purpose of delivering the agreed services.
15. Force Majeure
Neither party shall be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including outages of third-party infrastructure, natural events, or acts of government.
16. Changes to These Terms
We may update these Terms & Conditions from time to time. The version published on this page at the time an order is confirmed governs that engagement.
17. Governing Law
These Terms & Conditions are governed by the laws of the State of Wyoming, United States. Any dispute shall be subject to the exclusive jurisdiction of the courts of the State of Wyoming.
